General Terms and Conditions of Purchase (see II.)
Welcome to JUBILEE ACE. The Internet platform and the services offered are provided by Jubilee Ace Ltd. Sea Meadow House, Blackburne Highway, (PO Box 116), Road Town, Tortola, British Virgin Islands, e-mail: [email protected] (in future: JUBILEE ACE). By using our website, products, services and services you expressly agree to these terms and conditions as part of the contract of use via the internet platform.
1. Subject of the contract
(1)JUBILEE ACE is an innovative company that offers its community via the website https://jubileeace.com/ for a fee high-quality software products for the purpose of so-called arbitrage trading with crypto-currencies, as well as training services in the field of arbitrage trading with crypto-currencies.
(2)On the JUBILEE ACE Internet platform, JUBILEE ACE also offers a free online service, which allows you to use various information services on arbitraging with crypto currencies of your choice. In addition, you can also register as a sales partner to start a sales activity for JUBILEE ACE. You will be informed separately about the content of the respective chargeable order, the prices and the terms of payment before ordering a chargeable product or other conclusion of a chargeable contractual relationship. By clicking the button "Buy" you declare in each case that you wish to conclude a contract for the chargeable service or goods selected by you. The contractual relationship between the parties shall then be established upon e-mail confirmation of the order by JUBILEE ACE.
2. Registration on the JUBILEE ACE website
(1)Before you can use the offers and services of JUBILEE ACE, you must first register on the website. The registration is free of charge. The data required for the registration or later for the completion of the registration must always be provided completely and truthfully.
(2)When you register, you must choose your e-mail address and a password. By clicking the button "Register free of charge" you declare that you wish to conclude a user contract for the free use of the internet platform. The contractual relationship in this regard shall be established upon e-mail confirmation of registration by JUBILEE ACE, which shall also contain the access data. After receiving the access data, you can create your profile on the website and have access to the offers of JUBILEE ACE.
(3)A contract may be concluded with legal entities, partnerships or natural persons who have reached the age of 18 (or the age required to conclude effective contracts in the country in which a person is resident). It is not possible to conclude a contract with persons who have their registered office in one of the following countries or who are citizens of the following countries: USA (including associated territories); Canada (including associated territories); China (including associated territories).
(4)JUBILEE ACE requires proof of age and proof of identity through a "KYC process".
(5)You are fully responsible for the legality and accuracy of the data provided during registration. In particular, when entering credit or debit cards, the name and surname of the cardholder must match the information provided in the registration document.
(6)False statements made intentionally and/or fraudulently may result in civil action. JUBILEE ACE also reserves the right to block profiles and accounts of users who have deliberately and/or fraudulently provided false information, to terminate the contract of use and to refuse any payouts.
(7)You can only create one profile. Registered users cannot log in again as a new customer or by entering a new e-mail address. If a user has created several profiles, he/she must choose one. All other profiles are deleted by JUBILEE ACE. The creation of several profiles constitutes an important reason for a permanent blocking of the user without the need for a prior warning.
(8)You agree to notify JUBILEE ACE immediately of any changes to your user data, in particular changes to your bank account and e-mail address. If you do not comply with this obligation, you must bear the resulting damage yourself.
(9)You may not give your profile and access data to a third party for use. The use of your account by third parties is an important reason for a permanent blockage of the user, without the need for a prior warning. In your own interest, you are required to notify JUBILEE ACE immediately of any knowledge of third parties and any misuse of your online account.
(10)You can freely choose your user name and password when you register. You undertake to keep the password secret. If you become aware of any unauthorized use of your password, you agree to notify JUBILEE ACE immediately at [email protected] If you have forgotten your password, you can have it recovered using the recovery procedure provided (email to the email address you provided).
(11)JUBILEE ACE reserves the right to refuse registrations at its sole discretion and without giving reasons. If JUBILEE ACE rejects your application, all funds you have submitted to the payment processor will be returned to you within six weeks.
3. Duties of the customer
(1)You are prohibited from violating the rights of third parties, harassing third parties or otherwise violating applicable law or morality when using the JUBILEE ACE website. In particular, you undertake to refrain from the following actions:
Spreading of statements with insulting, harassing, violent, violence glorifying, rebellious, sexist, obscene, pornographic, racist, morally reprehensible or otherwise offensive or forbidden content;
Insult, harass, threaten, scare, slander, or embarrass any other customer, employee or distributor of JUBILEE ACE;
Spying on, sharing or distributing personal or confidential information of other customers, distributors or employees of JUBILEE ACE or otherwise violating the privacy of other customers, employees or distributors of JUBILEE ACE;
Spread untrue allegations about race, religion, gender, sexual orientation, origin, social status of other customers, employees or distributors of JUBILEE ACE;
Spying, sharing or distributing confidential information of JUBILEE ACE;
Spread untrue allegations about JUBILEE ACE;
Pretend to be an employee of JUBILEE ACE or any affiliate or partner of JUBILEE ACE
Use of legally protected images, photos, graphics, videos, music, sounds, text, trademarks, titles, designations, software or other content and marks without the consent of the rights holder(s)or permission by contract, law or regulation;
Dissemination of statements with advertising, religious or political content;
Use of prohibited or illegal content;
Exploitation of errors in programming (so-called bugs);
Taking measures that could lead to excessive load on the servers and/or massively affect the process for other customers;
Hacking or cracking, and the encouragement or incitement of hacking or cracking;
the distribution of counterfeit software and the promotion or encouragement of the distribution of counterfeit software;
Upload files that contain viruses, trojans, worms or corrupted data;
Use or distribution of "auto" software programs, "macro" software programs, or other "cheat utility" software programs
Modify the service or parts of it;
Use of software that enables so-called "data mining" or otherwise intercepts or collects information related to the service;
Interrupt transmissions to and from the service servers and the website servers;
Intrusion into the service, data or website servers.
(2)JUBILEE ACE refers to its householder's rights regarding the use of its Internet offer and expressly reserves the right to immediately block and extraordinarily terminate the online account and the contract of use, if one of the obligations regulated in (1)or otherwise violates applicable law during use.
4. Termination of contract
(1)JUBILEE ACE may terminate the contract of use and block your profile at any time without notice and without prior warning if there is good cause for immediate extraordinary termination without prior warning. Important reasons within the meaning of sentence 1 shall include in particular
fraudulent or other particularly serious illegal activities when using the services of JUBILEE ACE
Provision of false or misleading information to JUBILEE ACE,
Fraudulent, unlawful or otherwise improper use of the Arbitrage Software or any other JUBILEE ACE offer
Unauthorised distribution, reproduction, publication or other use or editing of the training materials (e.g. uploading to YouTube etc.)
Causing damages and other damages of any kind to JUBILEE ACE or other customers or distributors of JUBILEE ACE.
(2)You may terminate your contract of use at any time in an orderly manner, whereby the sending of the orderly termination by e-mail to [email protected] is sufficient for the effective receipt of the termination, and you may delete your profile in the JUBILEE ACE Community at any time.
5. Server availability
JUBILEE ACE's free online service is available 24 hours a day, seven days a week with an average annual availability of 97.5%. Excluded from this are downtimes due to maintenance and software updates as well as times during which the service cannot be accessed via the Internet due to technical or other problems that are beyond the control of JUBILEE ACE (force majeure, fault of third parties, etc.). In order to use the JUBILEE ACE service to its full extent, you must always use the latest (browser)technologies or enable their use on your computer (e.g. activation of Java Script, cookies, pop-ups). If you use older technologies or technologies that are not commonly used, you may have limited access to JUBILEE ACE services.
6. Exclusion of liability, liability for the rest
(1)JUBILEE ACE cannot be held responsible for any incorrect information in your registration. It follows that JUBILEE ACE cannot assume any liability for the accuracy of this information and that your content secured with JUBILEE ACE is information that is foreign to JUBILEE ACE in the sense of the applicable telemedia law.
(2)JUBILEE ACE is not liable for the occurrence of the desired success, which the customer wishes to achieve by using the internet platform, the goods of JUBILEE ACE.
(3)If JUBILEE ACE provides computer programs on its Internet site, the use of the software is at your own risk. JUBILEE ACE shall not be liable for any damages resulting from the installation and/or use of software from the download area to the extent permitted by law. Despite current virus checks, liability for damages and impairments caused by computer viruses is excluded within the scope of the legal regulations. Furthermore, JUBILEE ACE shall not be liable for any disruption in the quality of access to the Service due to force majeure or events beyond JUBILEE ACE's control. In addition, JUBILEE ACE is not liable for unauthorized access by third parties to your personal information (e.g., through unauthorized access by "hackers" to the database).
(4)In addition, JUBILEE ACE is only liable for damages other than those resulting from injury to life, body and health, if these are based on intentional or grossly negligent actions or culpable violation of an essential contractual obligation by JUBILEE ACE, its employees or vicarious agents. This also applies to damages resulting from the violation of obligations during contract negotiations as well as from the performance of unauthorized actions. Any further liability for damages is excluded.
(5)Except in the case of injury to life, body and health or intentional or grossly negligent conduct by JUBILEE ACE, its employees or vicarious agents, liability is limited to the damages typically foreseeable at the time of conclusion of the contract and otherwise to the amount of average damages typical for the contract. This also applies to indirect damages, in particular loss of profit.
(6)JUBILEE ACE shall not be liable for damages of any kind resulting from data loss on computer servers, except in the event of gross negligence or wilful misconduct of JUBILEE ACE, its employees or agents. Your stored contents are foreign information for JUBILEE ACE in terms of the Telemedia Act. Links are available on the JUBILEE ACE website. At the first linking, the contents under the respective link were checked for illegal contents. JUBILEE ACE is not responsible for external content that can be accessed via links. If JUBILEE ACE determines or is informed that a linked offer contains illegal content, this link will be deleted.
7. Data protection
JUBILEE ACE collects and uses the data you voluntarily provide only within the scope of the legal provisions. You will find the detailed provisions on data protection in our data protection regulations.
a)Trademark and copyright law
(2)You retain all rights and bear sole responsibility for any content you upload (e.g. in the JUBILEE ACE Community). JUBILEE ACE only receives all necessary rights to such content in connection with the publication and use of the content on the JUBILEE ACE platform.
(3)Violations of copyright, trademark or other intellectual property rights will be prosecuted by JUBILEE ACE and JUBILEE ACE reserves the right to delete or disable content for which it has been notified of such violation and to block the profiles of repeat offenders at its sole discretion.
b)Prices and fees
(1)The registration and creation of a profile on https://jubileeace.com/ is free of charge.
(2)The payment of prices and fees is made via online payment providers. The fees for payment processing or any costs due to currency conversions are borne by you. The payment providers are independent companies from JUBILEE ACE. JUBILEE ACE assumes no responsibility for their services and any damages or claims arising from them.
c)Notices and news
Messages from JUBILEE ACE are sent directly via a message in your profile (back office)or to the e-mail address you provided during registration. You are responsible for ensuring that your contact details are always up to date.
d)No warranty/ modification, limitation of JUBILEE ACE services/ transfer to third parties
(1)Your access to the JUBILEE ACE Web Site and Services is at your own risk.
(2)JUBILEE ACE has the right to make changes to the Site and the services offered by JUBILEE ACE without notice or liability.
(3)JUBILEE ACE reserves the right to restrict the use of the Services, including the ability to contact other Members through the Website, if JUBILEE ACE believes that they are in breach of any contractual obligation or the law or are otherwise abusing the Services.
(4)JUBILEE ACE does not guarantee
that it is legal, within the jurisdiction that has jurisdiction over you under your national law, for you to use or advertise JUBILEE ACE services or to participate in any JUBILEE ACE activities
that training material or other information is complete, accurate or reliable.
e)Agreements with third parties
JUBILEE ACE may, from time to time, enter into agreements with third parties who are external service providers and provide JUBILEE ACE and you with the Software/engineering/IT for products or services. You agree to abide by the terms, conditions and policies of such third parties when posted on the JUBILEE ACE Web Site or linked to the applicable third party Web site. These terms, conditions and policies are subject to change at any time. Any changes will be brought to your attention in advance.
f)Applicable law and place of jurisdiction
(1)Your legal relationship with JUBILEE ACE is governed by the law of the place of JUBILEE ACE's registered office. Mandatory provisions of the state in which you have your habitual residence remain unaffected.
(2)All disputes arising in connection with JUBILEE ACE Services shall be subject to the jurisdiction of the courts of JUBILEE ACE's registered office. Mandatory provisions of the state in which you have your habitual residence remain unaffected.

§ Section 1 Scope of application
(1)The following terms and conditions are part of every contract between JUBILEE ACE Ltd, Sea Meadow House, Blackburne Highway, (PO Box 116), Road Town, Tortola, British Virgin Islands, e-mail: [email protected] (in future: SELLER)and the customer.
(2)The SELLER offers via its website https://jubileeace.com/ high-quality software products for the purpose of so-called arbitrage trading with crypto-currencies against payment, as well as training services in the field of arbitrage trading with crypto-currencies (in the future collectively referred to as "goods"). The SELLER expressly does not distribute her goods to the following countries, so that you as a customer resident in one of the following countries or as a citizen of the following countries cannot conclude contracts for the SELLER's goods: USA (including associated territories); Canada (including associated territories); China (including associated territories).
(3)The SELLER shall provide its services exclusively on the basis of these General Terms and Conditions of Sale, which can be viewed on this website at any time and are sent to the customer by email in the event of a contract being concluded.
(4)If you have reason to complain, you can contact us using the details given in paragraph 1.
§ 2 Conclusion of contract
(1)The presentation of the goods on the website does not constitute a binding offer by the Vendor.
(2)The customer can choose from the offer as desired and add goods or services to the shopping cart by clicking on the shopping cart symbol. The customer can empty the shopping cart at any time by changing the quantity or by closing the browser window. The changes can be made using the mouse and keyboard. By clicking on the button "TO CASH" the customer will be redirected to a page where he can register as a customer, if he does not yet have access data or can log in as an existing customer. For this purpose, a user name and password as well as the contact data are entered. After successful registration and - if necessary - confirmation of the delivery address, the customer can choose the mode of shipment and then receives information about the payment method. By clicking on the button "CONTINUE" the customer is redirected to a page where, after confirming the terms and conditions of purchase and the information on the right of withdrawal, he will receive an overview of the order. In case the customer would like to make changes to his order again at this point, he can return to the shopping cart by clicking on the link "Cancel Checkout and return to the shopping cart". If no more changes are to be made to the order, the ordering process can be completed and a binding order placed by clicking on the button "NOW PAYMENT OBLIGED ORDER". The receipt of the order will be indicated to the customer immediately after completion of the ordering process. The Vendor shall store the customer order and the order data entered in accordance with the data protection declaration. In addition, the customer also receives his order data by e-mail.
(3)The customer will be informed of the receipt of the order by e-mail. This order confirmation also represents the acceptance of the purchase contract by the SELLER.
§ 3 Delivery of the goods; provision for download
(1)The goods are handed over by making them available for download (Download)in the customer area after the SELLER has received the customer's payment.
(2)The possibility to download the goods again is a voluntary service of the SELLER, which the SELLER may terminate at any time. The SELLER therefore reserves the right to change, interrupt or discontinue the possibility to download data again at any time, temporarily or permanently, and/or to delete individual goods from the customer's account. This applies in particular if there is good cause to remove the goods from the customer's account, especially in the case of disputes about possible infringements of rights by the content of the goods. The possibility of deletion does not apply to goods which are already on a separate storage medium at the customer's premises, e.g. his PC, laptop etc., after the customer has downloaded them.
§ 4 Cancellation policy
If you have purchased the goods of the Vendor as a consumer, you have a legal right of withdrawal, which we will inform you about in the following:
Right of withdrawal
You have the right to revoke this contract within fourteen days without giving reasons.
The period is fourteen days from the day of the conclusion of the contract.
To exercise your right of withdrawal you must email us, Jubilee Ace Ltd, Sea Meadow House, Blackburne Highway, (PO Box 116), Road Town, Tortola, British Virgin Islands:
[email protected], by means of a clear statement (e.g. a letter, fax or e-mail sent by post)about your decision to withdraw from this contract. You can use the attached model revocation form for this purpose, but this is not mandatory.
In order to comply with the revocation period, it is sufficient to send the notification of the exercise of the right of revocation before the end of the revocation period.
Consequences of revocation
If you revoke this contract, we shall reimburse you for all payments we have received from you, including delivery costs (with the exception of additional costs resulting from the fact that you have chosen a different type of delivery than the cheapest standard delivery offered by us), immediately and at the latest within fourteen days of the day on which we receive notification of your revocation of this contract. We will use the same means of payment for this refund as you used for the original transaction, unless expressly agreed otherwise with you; in no event will you be charged for this refund.

§ 5 Terms of payment; prices
(1)The following payment options are available to the customer:
If you have chosen credit card as your payment option, you will be asked to provide your bank, credit card number, cardholder name, expiry date and CVC/CVV code.
Online with Bitcoin
The Bitcoin amount is always converted using the current exchange rate of the Bitcoin. We do not charge any additional costs for payment with Bitcoin. To be able to pay with Bitcoin, you must install a Bitcoin Wallet. You can set up this virtual wallet using various apps and programs that you can download from the Internet.
(2)All prices are to be understood as total prices including the statutory value added tax.
§ 6 Conditions of use for the use of the goods
(1)The customer does not receive any transfer of ownership when using the goods. Instead, the customer acquires a simple, non-transferable right, revocable before full payment of the license fee, to use the specific goods for personal use. The content or the design of the goods may not be edited or changed by the customer, subject to deviating mandatory legal regulations, neither in terms of content nor editorially, nor does the customer have the right to grant third parties sublicenses for the goods against payment, to make the goods publicly accessible or otherwise commercially exploit the goods.
(2)On the other hand, the customer is permitted to copy the goods (only)for his own personal use (making a private copy)or to have them copied for this purpose by a third party, provided the third party makes the copy free of charge. Passing on the goods to third parties (this also applies to passing on to family members, relatives or acquaintances)is only permitted temporarily for the purpose of making such a private copy.
(3)When using services, the customer does not receive a transfer of ownership, but is only entitled to use the specific service in accordance with the contract for the period of the purchase of the user license.
§ 7 Liability for defects; limitation of liability
(1)The customer is entitled to a statutory right to liability for defects. With regard to liability for defects, the statutory provisions shall apply unless otherwise provided for in the following limitations of liability with regard to compensation for damages.
(2)The Vendor is liable - with the exception of injury to life, body and health and the violation of essential contractual obligations (handing over and transfer of ownership of the goods)- only for damages which are due to intentional or grossly negligent behaviour. This also applies to indirect consequential damages such as, in particular, loss of profit.
(3)Except in the case of intentional or grossly negligent conduct or in the case of damages resulting from injury to life, body and health and the violation of essential contractual obligations (handover and transfer of ownership of the goods), liability is limited in amount to the damages foreseeable at the time of conclusion of the contract and typical for the contract. This also applies to indirect consequential damages such as, in particular, loss of profit.
(4)The limitation of liability in paragraphs 2 and 3 also applies in favour of the Vendor's vicarious agents.
(5)The liability based on the product liability law remains unaffected.
The SELLER collects and uses the data voluntarily transmitted by you only within the framework of the legal provisions. You will find the detailedprovisions on data protection in our data protection declaration.
§ 9 Information on dispute resolution
(1)The European Commission provides a platform for out-of-court online dispute resolution (OS Platform), accessible at http://ec.europa.eu/odr.
(2)The Vendor shall always endeavour to settle any differences of opinion arising from the contractual relationship in an amicable manner. However, the SELLER shall not take part in any proceedings before an officially recognised consumer arbitration board. Legal recourse is always possible.
§ 10 Applicable law; place of jurisdiction; severability clause
(1)For all disputes arising in connection with the initiation, execution or settlement of the contractual relationship between the SELLER and the customer, the law of the SELLER's registered office shall apply exclusively, unless mandatory consumer protection regulations of the country in which the customer has his habitual residence take precedence. The application of UN sales law is excluded.
(2)Place of jurisdiction and place of performance is the Vendor's registered office if the customer is a merchant, a legal entity under public law or a special fund under public law.
(3)Should individual provisions of these General Terms and Conditions of Purchase be invalid in whole or in part, the remaining provisions of the General Terms and Conditions of Purchase shall remain in effect.
